Jurisdiction and choice of law

These terms of use shall be governed by the laws of England and you shall submit to the exclusive jurisdiction of the English courts.

If any of these terms are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

The Membership Agreement

1. Introduction

1.1 This Membership Agreement is between KGA (Company number 06498667) whose registered office is c/o Revell Ward LLP, 7th Floor 30 Market Street, Huddersfield, West Yorkshire, HD1 2HG "we", "us" and "our") the provider of the membership benefits detailed at http://www.grantmakers-alliance.com ("the Membership Benefits") and you, the member who is subscribing to receive the Membership Benefits ("you").

1.2 This Membership Agreement is subject to the following terms and conditions.

2. Commencement

2.1 This Membership Agreement shall commence as soon as we issue you with confirmation that the charges have been paid in accordance with condition 4.

3. Term

3.1 Once this Membership Agreement has commenced, it shall continue for a fixed term of 12 months ("the Term")

3.2 This Membership Agreement shall automatically terminate upon expiry of the Term.

3.3 We reserve the right to terminate this Membership Agreement in our absolute discretion, in which case we shall refund you the Charges.

4. Charges

4.1 The annual charges payable under this Membership Agreement ("the Charges") are:
(i) In respect of Business and individual philanthropist Members - £50.00
(ii) In respect of Public Sector, £850.00 per organisation and then £75.00 for each employee registering for/engaged in a volunteering activity; and
(iii) In respect of 'Affiliate' eg not-for-profit/social enterprise/registered charity members £25.00

4.2 You agree that we shall have the right to use your credit, debit or charge card details or a direct debit form completed by you for the purpose of processing payment of the Charges.

4.3 If the payment referred to in condition 4.2 is not successful, we reserve the right to suspend or terminate this Membership Agreement, immediately and without notice.

4.4 The Charges are strictly non refundable.

4.5 The Charges are inclusive of any Value Added Tax.

5. How your cancellation rights are affected

5.1 The Consumer Protection (Distance Selling) Regulations 2000 ("the Regulations") may apply to this Membership Agreement if you satisfy the legal definition of a consumer. As a consumer, the Regulations give you a 7-day cooling off period, in which you can cancel this Membership Agreement and obtain a refund of the Charges.

5.2 However, under the Regulations, the 7-day cooling off period will not apply where the performance of any service has already commenced.

5.3 You acknowledge and agree that the Membership Benefits will commence before the expiry of the 7-day cooling off period and accordingly, you will not have any right to obtain a refund of the Charges.

6. General

6.1 If you are acting as a consumer, these terms and conditions shall not affect any of your statutory rights.

6.2 We may assign this Membership Agreement or any part of it to any third party. You shall not be entitled to assign this Membership Agreement or any part of it without our prior written consent.

6.3 This Membership Agreement shall be governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
